Is there a minimum or maximum monthly portfolio residual required for a purchase?

We typically focus on portfolio acquisitions with a monthly residual of at least $10,000 or more.

What is my portfolio worth?

The valuation of a portfolio depends on many different factors. We have developed a process that allows us to quickly determine the value of a portfolio by analyzing a number of metrics, including but not limited to, revenue attrition, account attrition, portfolio tenure, account concentration, margin earned and merchant composition. The value of your portfolio is determined by calculating a multiple of the average monthly residual and taking into consideration the factors described above.

What information is needed to perform an analysis and valuation of my portfolio?

Your past twelve months residual reports and a copy of your current ISO Agreement will provide us with enough information to perform an initial valuation and present an offer to you.

How long does it take Argo Capital Partners to perform a valuation and present an offer for my portfolio?

In most cases we will be able to perform our valuation and present you with an offer for your portfolio in 1-3 business days.

If I accept your offer for my portfolio, what happens next?

Most ISO Agreements afford the Processor a right of first refusal to purchase your portfolio. Upon execution of an offer, you would present the offer to the Processor for approval. The Processor has a period of time, commonly thirty to sixty days, to either approve the offer or purchase the portfolio themselves.
If the Processor agrees to the sale, we will proceed with our due diligence process and begin to prepare the closing documents.

What information will be reviewed during the due diligence process?

Argo Capital Partners will perform a lien search and background check on the business and on the principal(s). We will also review the previous two years federal tax returns on either/or the business and principal(s). If you have Sale Agents, we will review copies of Agreements between you and the Agents, including any documents outlining potential buyout of the Agent’s residuals.

After the due diligence process is complete, what are the next steps to closing the acquisition of my portfolio?

We will provide you with the closing documents which include: an Asset Purchase Agreement, Bill of Sale, Personal Guarantee and Non-Solicitation Agreement. The remaining documents, an Assignment of Residuals Agreement is usually provided by the ISO/Processor. Once all of those documents are fully executed, Argo Capital Partners will wire the funds to your designated bank account.

How long does the entire acquisition process take?

Each portfolio acquisition is different and depends on the characteristics of the deal, however, most transactions are closed within thirty days of approval from the ISO/Processor.

Can I sell a portion of my portfolio residuals?

Yes, a portion of the portfolio residuals can be sold based on a specific dollar amount of revenue or selected accounts.

If I sell a portion of my portfolio based on a specific amount, how soon will Argo Capital Partners pay me the excess of each month?

Every effort will be made to pay the overage the same day that we reconcile the deposit.

What will happen to the agents who receive payouts on my portfolio residuals?

Agents will continue to be paid by Argo Capital Partners and our operational ISO partner, Green Payments, or you can offer your agents a buyout.

Does Argo Capital Partners help service the accounts?

Yes, we work closely with our operational ISO partner, Green Payments, to take on the merchant support and retention after the portfolio acquisition. We act as the intermediary between the merchant and processor, alleviating the Agent’s workload. All of our Client Relationship Representatives and Merchant Retention Specialists are based in Green Payments’ New Jersey office.

What is a Referral Partner?

Anyone that has relationships with ISOs, ISVs or Agents of ISOs that may be interested in selling their residual portfolios. We pay premium commissions for referrals that lead to a successful portfolio acquisition.
